IMPORTANT - READ FULLY Any Entries or Entrants that do not comply with all rules herein will be considered void and will not be considered in this Contest.

ELIGIBILITY: Sonic Smackdown 2011 (Contest) is open to adults (age 18 and up) at the time of entry. All band members must be at least 18 years of age. The following are not eligible: employees, contractors, directors and officers of DRD Productions LLC, and each of their respective parent, subsidiaries and affiliated companies, distributors, web design, advertising, fulfillment, judging and Contest agencies involved in the administration, development, fulfillment and execution of this Contest (collectively, "Contest Parties"), and the immediate family members of each (spouse, parent, child, sibling, grandparent, and spouse or "step" of each) and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Contest).
NO COST/NO PURCHASE NECESSARY: There is no entry fee to enter the Contest and no purchase is necessary. A purchase will not increase the chance of winning.
HOW TO ENTER: To enter, you must do all of the following:
A. Send an email to info@drdrecords.com containing the following information: In the subject line, "SonicSmackdown2011 Entry". The name of the band, and the names, ages and roles (instrument, vocals, etc) of all band members, and a contact email and phone number;
B. All band members (and the band, if it has a Facebook* page), join the DRD Facebook* page by pressing the LIKE button on the DRD Facebook* wall.
C. Post a Youtube video of your band to DRD Records Facebook* wall. Video can be your band live or studio recording. Full production does not need to be done - just enough to let us hear your sound and/or see your band. Must be an original song. Video must be at least 30 seconds to no more than 12 minutes long. BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT HIS/HER ENTRY MAY BE POSTED ON SPONSORS' WEBSITE, AT SPONSORS' DISCRETION. Sponsors reserve the right to, and May or May not, monitor/screen entries prior to posting them to the Website. By entering, you acknowledge that Sponsors have no obligation to use or post any Entry you submit. Submission of an Entry grants Sponsor and its agents an unlimited, worldwide, perpetual, license and right to publish, use, publicly perform the Entry in any way, in any and all media, without limitation, and without consideration to the entrant. ENTRIES POSTED TO THE WEBSITE WERE NOT EDITED BY SPONSORS AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSORS IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrants.
CONTEST PERIOD AND PROCEDURE: Contest submissions will be accepted starting at 12:00:00 am Pacific Time ("PST") on August 1, 2011 and submissions will be accepted until 11:59:59 pm September 21 , 2011, and no later. The Entrants with top 2 videos with the most "likes" are automatically moved into the semi finals. A panel of representatives from DRD Records will choose 6 bands from the remaining valid entries received to join the two chosen through voting in the semi finals. In addition, 3 alternates will be chosen by DRD Records & used in case any of the semi finalists cannot play the dates set for the semi shows. The 8 semi final Bands will be notified by September 26, 2011. During each semi-final show, two bands will compete head to head, with the winner moving onto the final show. Semi Final shows are booked for the following dates: November 3, 10, 17 & December 1, 2011. If a band cannot compete any of these dates one of the alternates will be chosen. All semi-final shows will be at Dante's (1 SW 3rd Ave, Portland, Oregon 97201). The final show will consist of the 4 bands who won semi finals, and will also be at Dante's. The final show will be held in January or February 2012 (date TBA). Dates & venue may be changed at DRD Records sole discretion. The Winners for both semi-final rounds and the final round will be chosen based on the following: 50% audience vote (one ticket, one vote) and 50% by decision from a panel of judges selected by the contest sponsor, DRD Records. The Contest Winner will be announced at the end of the final show.
CONTEST TERMS OF SUBMISSION: As conditions of entry into a Contest, and posting an Entry, each Entrant warrants and represents that uploaded Entry (a) is your original work, (b) has not been previously published, (c) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (d) that you have obtained permission from a person who's name, likeness or voice is used in the Video or Music and (e) and that publication of the Video or Music via various media including Web posting, will not infringe on the rights of any third party rights. Any such entrant will indemnify and hold harmless, Sponsors from any claims to the contrary. Each Entrant further warrants and represents that the Entrant has obtained permission from each person who appears in the Entry to grant the rights to the Contest Parties described in these Official Rules, and can make written copies of such permissions available to the Contest Parties upon request. By submitting an Entry, Entrant agrees to the Terms and Conditions specified on this Web site and further agrees to never sue or assert any claim against the Contest Parties' use of those Materials. Entrant agrees to indemnify and hold the Contest Parties and their respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Contest Indemnitees"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Contest Indemnitees due to or arising out of the Entrant's Entry Materials or Additional Materials in the Contest, or the Entrant's conduct during and in connection with this Contest, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation. Entrant agrees to release and indemnify and hold harmless Sponsor and the Contest Parties from any and all claims that any advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Sponsor or the Contest Parties infringes on the rights of Entrant's work as contained in any Entry.
LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by Sponsors or Contest Parties resulting from any user's participation in or attempt to participate in the Contest or ability or inability to upload or download any information in connection with participating in the Contest. No responsibility or liability is assumed by the Sponsors or Contest Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Contest: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or the Web Site; unauthorized human or non-human intervention of the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Contest. Sponsor and Contest Parties are not responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web Site. Use of Web Site is at user's own risk. Sponsors and the Contest Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Contest, use of the Web Site or the download of any information from the Web Site. By participating in the Contest, Entrant (or their parent/legal guardian if an eligible minor) agrees to release and hold Sponsors and Contest Parties harmless from any and all claims, damages or liabilities arising from or relating to such Entrant's participation in the Contest. By accepting a prize in the Contest, winners (or their parent/legal guardian if an eligible minor) agree that the Sponsors and Contest Parties have the right to use winner's name, Entry and biographical information for advertising/promotional purposes, except where prohibited by law, and that Sponsors and Contest Parties shall not be liable for any loss or injury resulting from participation in the Contest, acceptance or use of any prize, including any travel related thereto, or any use of Entry.
PRIZE FOR WINNING - RECORD CONTRACT/NO CASH VALUE: The Winner of Sonic Smackdown 2011 will be offered a Record Contract from DRD Records. There is no cash value in the Record Contract. The estimated retail value of the prize is $50,000. In other words, if you were to purchase all of the terms of this deal at retail rates, the estimated cost would be $50,000. The terms and conditions of the Record Contract offered will be determined by DRD Records in its sole discretion. If the contest winner chooses not to sign the contract, there is no cash value. DRD Records will then move on to the second place winner. The deal will likely include the following terms: at least 14 days in world class recording studio, producer, engineer, mastering, mass production, marketing, radio promotion, video production, booking, tour support, standard indie revenue deal (e.g., 50% artist / 50% label after label recoup, including hard sales (album), digital sales, album sales & any publishing moneys label generates for artist / songwriter).
OTHER PRIZES: Additional prizes may become available prior to the start of the semi-finals at DRD Records sole discretion. If and when additional prizes become part of this contest, they will be announced at SonicSmackdown.com and on DRD Records' Facebook* page.
FORFEIT/CANCELLATION: If prize notification for any prize is returned as undeliverable, prize will be forfeited. If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsors reserve the right, at their sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, modify or terminate the Contest or any part of the Contest.
APPLICABLE LAW/DISPUTE RESOLUTION: This Contest is governed by the laws of the State of Oregon. Any controversy or claim arising out of or relating to these Rules or the Contest will be settled by binding arbitration in accordance with the commercial arbitration rules of the Arbitration Service of Portland, Inc. in Portland, Oregon. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Portland, Oregon, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. Either you or we may seek any interim or preliminary relief from a court of competent jurisdiction in Portland, Oregon necessary to protect the rights or property of you or the DRD Records (or its agents, suppliers, and subcontractors) pending the completion of arbitration.
MISCELLANEOUS PROVISIONS: These Rules constitute the entire agreement between you and the Parties with respect to the Contest, and supersedes all previous written or oral agreements. If any part of these Rules is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Rules shall continue in effect.
